2027 TERMS AND CONDITIONS OF REGISTRATION AND PURCHASE

Effective Date: 8/31/2026

These Terms and Conditions of Registration and Purchase (“Terms”) govern reservations, pre-registration, registration, costume and package purchases, and other applicable purchases or participation opportunities offered by Ultimate Legacy Carnival Troupe (“Ultimate Legacy,” “TULCT,” “we,” “our,” or “us”) for the 2027 season.

By purchasing a Priority Access Reservation, participating in Official Pre-Registration, completing Public Registration, registering for or purchasing a costume or package, or making any other purchase/transaction from Ultimate Legacy Carnival Troupe or expressly subject to these Terms, you (“Member” or “you”) acknowledge that you have read, understood, and agreed to these Terms and Conditions.

Certain provisions apply only to a particular registration category, purchase, event, benefit, or program and will apply only where relevant.

I. ELIGIBILITY & REGISTRATION

1. Eligibility

You must be 23 years of age or older to register for or purchase a TULCT costume package. By completing a reservation, registration, pre-registration, or purchase, you represent that you satisfy the applicable age requirement.

TULCT may require valid government-issued identification to verify identity and age.

2. Registration Categories

TULCT may offer different opportunities to participate in the 2027 season, including Priority Access Reservation, Official Pre-Registration, and Public Registration.

Availability, access periods, inventory, deposits, pricing, benefits, deadlines, and selection opportunities may vary by registration category.

Unless expressly stated otherwise, participation in any registration category does not guarantee a particular costume section, style, size, option, upgrade, or other inventory.

II. PRIORITY ACCESS & OFFICIAL PRE-REGISTRATION

3. Priority Access Reservation

Priority Access was a limited, first-come, first-served opportunity offered in advance of 2027 Official Pre-Registration.

The Priority Access Reservation payment was $75 plus applicable platform or processing fees. The $75 payment is non-refundable and is credited toward the member's $150 Official Pre-Registration deposit.

A Priority Access Reservation alone does not constitute completed Official Pre-Registration. It reserves the member's opportunity to complete Official Pre-Registration in accordance with the applicable Priority Access timeline and these Terms.

Priority Access does not guarantee any particular costume, section, style, size, upgrade, or other inventory.

4. Priority Access Benefits

Priority Access benefits include, as applicable:

  • exclusive early access to Official Pre-Registration;

  • a reserved opportunity to complete Official Pre-Registration through the applicable Priority Access completion deadline;

  • application of the $75 Priority Access payment toward the $150 Official Pre-Registration deposit;

  • access to the lowest 2027 registration deposit;

  • priority costume selection and an exclusive costume redemption period before Public Registration;

  • applicable premium swag, promotional benefits, partner opportunities, priority distribution benefits, and other announced Priority Access or pre-registration perks.

TULCT may reasonably modify, substitute, suspend, or discontinue ancillary or promotional benefits, including partner offers, promotional items, swag, or similar benefits, where necessary because of availability, vendor changes, operational needs, or circumstances beyond TULCT's reasonable control.

This flexibility is not intended to permit TULCT to retroactively eliminate or materially impair a core paid Priority Access right after purchase, including the credit of the $75 Priority Access payment toward Official Pre-Registration or the member's reserved opportunity to complete Official Pre-Registration through the announced Priority Access completion deadline, except where required by law or circumstances beyond TULCT's reasonable control.

Modification or unavailability of an ancillary or promotional benefit does not create a right to a refund.

5. Official Pre-Registration

The 2027 Official Pre-Registration deposit is $150 plus applicable platform or processing fees.

Priority Access members receive credit for their original $75 Priority Access payment and must pay the remaining $75 plus applicable fees to complete Official Pre-Registration.

Individuals permitted to participate directly in Official Pre-Registration without Priority Access must pay the full $150 plus applicable fees.

The entire $150 pre-registration deposit is credited toward the member's 2027 costume package balance. Platform, processing, service, foreign transaction, currency-conversion, or similar fees are not part of the costume deposit unless expressly stated otherwise.

Once the full $150 deposit has been paid and all required registration information has been submitted, the member is officially pre-registered for the 2027 season. A completed pre-registration member will not later be required to increase the $150 deposit to match the then-current Public Registration deposit.

Official Pre-Registration is limited and subject to available program capacity. TULCT reserves the right, in its sole discretion, to offer, reopen, expand, limit, or decline to offer additional pre-registration opportunities based on capacity and operational needs.

Completion of Official Pre-Registration secures the Member's registration status and applicable pre-registration benefits but does not reserve or guarantee any particular costume, section, style, size, upgrade, or other inventory until the applicable costume redemption process is completed.

6. Priority Access Timeline and Completion Deadline

Priority Access members receive exclusive early access to Official Pre-Registration from September 1, 2026 through September 4, 2026 at 12:00 PM.

Expiration of the exclusive early-access period does not automatically terminate an incomplete Priority Access member's reserved pre-registration opportunity.

A Priority Access member who has not completed during the exclusive early-access period will continue to have their reserved pre-registration opportunity protected through September 7, 2026 at 11:59 PM, which is the final Priority Access completion deadline.

All Priority Access members must complete the required Official Pre-Registration process, including payment of the remaining $75 plus applicable fees, by that deadline.

A member who experiences a documented technical, access, or payment-processing issue and reports the issue to TULCT before the applicable deadline may have the affected reservation temporarily preserved while TULCT reviews or assists with the reported issue. Any such accommodation remains subject to TULCT's reasonable determination that the issue was timely reported and genuinely prevented completion.

7. Failure to Complete Official Pre-Registration

If a Priority Access member fails to complete Official Pre-Registration by September 7, 2026 at 11:59 PM:

  • the member will not be considered officially pre-registered;

  • the Priority Access reservation will expire;

  • the member will lose the protected pre-registration opportunity and applicable unredeemed Priority Access/pre-registration privileges;

  • TULCT will no longer be required to preserve inventory or registration capacity for that member; and

  • the $75 Priority Access payment remains non-refundable and may be forfeited in accordance with these Terms.

An incomplete Priority Access Reservation does not automatically convert to Public Registration.

At the member's express request, TULCT may, in its sole discretion, permit the previously paid $75 to be applied toward a later 2027 Public Registration. Such credit is not guaranteed and is effective only upon TULCT's confirmation.

A request for such consideration does not preserve or hold inventory while the request is pending.

If approved, the member will be subject to the then-current Public Registration deposit, pricing, deadlines, inventory, and other applicable requirements and will not retain Priority Access or pre-registration privileges.

8. Priority Costume Selection / Costume Redemption

Members who successfully complete Official Pre-Registration will receive an exclusive costume selection or “redemption” opportunity before Public Registration.

This benefit provides priority access to select from available costume inventory; it does not guarantee any particular costume, section, style, size, upgrade, or option.

A member who fails to make a costume selection during the exclusive redemption period does not lose their completed Official Pre-Registration status or the $150 deposit credit.

After the exclusive redemption period closes, that member may select from the costume inventory then available on a first-come, first-served basis. TULCT is not required to preserve a particular costume or inventory option for a member who misses the exclusive redemption period.

III. PUBLIC REGISTRATION, PAYMENTS & INVENTORY

9. Public Registration and Deposits

The 2027 Public Registration deposit is:

  • $275 for Public Registrations completed before January 1, 2027; and

  • $375 for Public Registrations completed beginning January 1, 2027.

Applicable platform or processing fees are additional.

Public Registration deposits are credited toward the applicable costume package balance.

These increased Public Registration deposits do not apply to members who previously completed the $150 Official Pre-Registration deposit.

Public Registration and costume inventory are limited and available on a first-come, first-served basis while capacity and inventory remain available. TULCT is not required to establish a predetermined Public Registration closing date.

A Public Registration is not complete, and the applicable costume inventory is not secured, until TULCT has received the required registration deposit and all information required to complete the registration.

10. Payments, Final Payment & Default

Except as expressly provided in these Terms, expressly authorized by TULCT in writing, or required by applicable law, all reservation payments, registration deposits, pre-registration deposits, interim payments, and any other payments are non-refundable.

TULCT may establish and communicate designated payment requirements and deadlines during the season, including requirements that a specified dollar amount or percentage of the applicable costume or package balance be paid by a stated date.

Members are responsible for ensuring that the required amount has been paid by each applicable payment deadline. Failure to satisfy a designated payment requirement by the applicable deadline places the Member's order in default, even if the final payment deadline has not yet occurred.

Members must pay all outstanding costume/package balances in full by TULCT's announced final payment deadline. A costume or package may not be collected unless the applicable balance has been paid in full, except where TULCT expressly authorizes otherwise.

Failure to satisfy an interim payment requirement, places the Member order in default and TULCT may, depending on the applicable requirement and circumstances, :

  • place the Member's account or order in default;

  • suspend applicable registration, costume, or Member benefits;

  • cancel the order without further notice;

  • release the associated costume package, including section, style, size, or other selected inventory, for resale;

  • require payment of the overdue amount or full outstanding balance as a condition of reinstatement;

  • require compliance with any revised payment deadline or reinstatement requirement established by TULCT; and

  • treat amounts previously paid in accordance with the applicable non-refund provisions of these Terms.

If an applicable balance is not paid in full by TULCT's announced final payment deadline, the order will be automatically cancelled without further notice, unless TULCT expressly provides otherwise in writing.

Once an order is cancelled or inventory is released because of payment default, the associated costume package or other selected inventory may be released for resale and the Member forfeits any claim to the specific costume selection or other inventory associated with that order. Any later reinstatement is subject to Section 11 and does not restore the Member's original selection unless that inventory remains available and TULCT expressly confirms the selection.

TULCT may, in its discretion, permit a Member to cure a missed interim payment requirement but is not required to do so. Any accommodation or cure opportunity does not extend the final payment deadline unless TULCT expressly states otherwise.

Costumes remain the property of TULCT until paid in full and collected. TULCT is not obligated to hold an unpaid order or costume beyond the applicable final payment deadline.

Only completed payment, where required, secures applicable costume inventory.

Payments will be accepted through methods designated by TULCT. Checks will not be accepted.

All transactions are processed in U.S. Dollars. Members are responsible for any currency-conversion charges, foreign transaction fees, bank fees, card-provider fees, or similar charges imposed by their financial institution or payment provider.

11. Inventory Reallocation and Reinstatement

Following cancellation or release of an order, TULCT may return the costume package or other inventory to available inventory for resale on a first-come, first-served basis.

Inventory is dynamic and may change without notice.

A member whose order has been cancelled may request reinstatement; however:

  • reinstatement is not guaranteed;

  • reinstatement is subject to then-current inventory, deadlines, production status, and operational feasibility;

  • the member's original section, style, size, or other selection may no longer be available;

  • TULCT may issue a new invoice or payment link for an available option;

  • TULCT may require payment of the applicable outstanding balance in full; and

  • reinstatement is not confirmed until TULCT expressly confirms it and any required payment has been received.

TULCT will not hold inventory during a reinstatement inquiry or while payment is pending.

IV. COSTUME SELECTION, PRODUCTION & REFUNDS

12. Costume Selection, Sizes, Measurements and Changes

Members are responsible for providing accurate sizes, measurements, contact information, selections, and other information required for costume production and fulfillment.

Costume selections and production specifications are final.

Unless expressly authorized by TULCT, there will be:

  • no switching or exchanging of costume sections;

  • no changes to sizes, measurements, styles, or other production specifications after the applicable deadline;

  • no costume transfers; and

  • no returns or exchanges.

TULCT costumes are custom-made. Variations or issues attributable to a member's incorrect selection, inaccurate measurements, weight fluctuation, or other member-caused circumstance do not obligate TULCT to remake, replace, exchange, or alter the costume.

TULCT may attempt to assist with an alteration or adjustment where reasonably possible, but such assistance does not create an obligation to alter, remake or exchange a costume.

13. Costume Production Variations and Material Substitutions

TULCT costumes are custom-designed and may incorporate handmade, hand-finished, dyed, embellished, feathered, printed, or specialty components. Members acknowledge that reasonable variations may occur between design renderings, prototypes, samples, promotional photographs, and the final production costume, including variations in color tone, placement, texture, trim, embellishment, feathering, fabrication, or finishing.

TULCT reserves the right to make reasonable substitutions or modifications to materials, trims, embellishments, feathers, stones, fabrics, accessories, construction methods, or other costume components where the originally contemplated item becomes unavailable, delayed, discontinued, commercially impracticable, unsuitable for production, or where a substitution is reasonably necessary to complete production or improve construction, fit, durability, safety, or functionality.

Any substitution or modification will be made in good faith with the intent of preserving, as reasonably practicable, the overall design concept, quality, character, and value of the costume.

Reasonable production variations or substitutions that do not materially alter the essential character of the costume do not constitute non-delivery, defective performance, or grounds for a refund, chargeback, cancellation, or exchange.

Where TULCT determines that a necessary change would materially alter the essential character of the costume, TULCT may communicate the change and determine an appropriate remedy based on the circumstances, which may include an alternate item, substitution, credit, or other reasonable accommodation.

14. Non-Refundability and Non-Transferability

Except as expressly provided in these Terms, expressly authorized by TULCT in writing, or required by applicable law, all sales are final.

Registration, pre-registration, costume purchases, deposits, and other applicable purchases are non-refundable and non-transferable.

No refund is due because of, among other things:

  • failure to complete a registration requirement or payment obligation;

  • failure to complete Priority Access by the applicable deadline;

  • missed costume redemption or selection opportunities;

  • unavailability of a preferred costume after an applicable priority window;

  • a Member's decision not to participate;

  • withdrawal from the season or an event;

  • dissatisfaction with a custom-made costume where TULCT has fulfilled the applicable order;

  • failure to collect an available costume;

  • removal or denial of entry for violation of applicable conduct, security, or safety requirements; or

  • failure to use or participate in an included benefit, event, product, or experience.

Costumes are custom-made and therefore cannot be returned or exchanged except where expressly authorized by TULCT.

Any transfer permitted as an exception must receive prior written authorization from TULCT and may be subject to additional procedures, conditions, or fees.

The provisions of Section 22 (Force Majeure, Cancellation and Season Disruption) govern refunds, credits, substitutions, and other remedies arising from a Force Majeure Event.

V. CHARGEBACKS & BILLING DISPUTES

15. Chargebacks, Payment Disputes and Billing Resolution

A. Direct Resolution Requirement

Members must contact TULCT directly regarding any billing question, payment concern, disputed charge, or other payment-related issue and provide TULCT a reasonable opportunity to review and resolve the matter before initiating a chargeback, bank dispute, payment reversal, or similar proceeding with a bank, card issuer, payment processor, or payment provider.

Failure to first seek resolution directly with TULCT, followed by initiation of a chargeback, payment dispute, bank reversal, or similar action concerning a charge that was authorized and processed in accordance with these Terms, applicable TULCT policies, and/or applicable registration or payment-platform terms, constitutes a material breach of these Terms.

B. Effect of a Chargeback or Payment Dispute

Once a chargeback, payment dispute, or bank reversal is initiated, TULCT may:

  • immediately place the Member's account on hold;

  • suspend outstanding orders, production, fulfillment, costume selection or redemption, distribution, or Member benefits;

  • cancel the Member's registration and/or costume order;

  • treat amounts previously paid as forfeited in accordance with the applicable non-refund provisions, subject to amounts actually retained or recovered by TULCT and to the extent permitted by law;

  • contest the dispute using registration, transaction, communication, delivery, collection, participation, attendance, or other relevant records; and

  • recover actual and reasonable chargeback fees, processing fees, administrative costs, or other amounts incurred by TULCT as a result of the dispute, to the extent permitted by applicable law and payment-provider rules.

TULCT cannot reverse or control the processing or outcome of a bank-, card issuer-, or provider-initiated dispute once filed. A dispute initiated unintentionally or in error may nevertheless interrupt payment, registration, production, fulfillment, or other services and may result in financial loss to TULCT.

C. Reinstatement Following a Dispute

Reinstatement of an account, registration, costume order, benefit, or other opportunity following a chargeback or payment dispute is not guaranteed and remains within TULCT's discretion.

As a condition of considering reinstatement, TULCT may require resolution of the disputed transaction, repayment of reversed amounts, payment of applicable costs or fees, and/or payment of the remaining package balance in full.

Any reinstatement remains subject to then-current inventory, production status, deadlines, and operational feasibility. TULCT is not required to preserve inventory or benefits while a dispute or reinstatement request remains pending.

D. Delivery, Use and Post-Event Disputes

Members acknowledge that costume packages, event access, and related products and services are custom, time-sensitive, and/or experiential.

Collection, acceptance, wearing, or use of a costume or purchased item, or participation in an applicable event or experience, constitutes delivery and acceptance of the applicable product or service, subject to any issue timely reported to TULCT in accordance with these Terms.

Once a costume package has been collected, worn, or used, or an applicable event or experience has occurred, associated charges are considered earned, final, and non-refundable, regardless of the Member's level of participation or subjective satisfaction, except as expressly provided in these Terms or required by law.

Members remain subject to the Direct Resolution Requirement for concerns arising after delivery, collection, use, or participation.

TULCT may contest a subsequent dispute using proof of delivery, collection, participation, attendance, communications, or other relevant records and may recover applicable costs in accordance with this section.

E. Repeated or Improper Dispute Activity

TULCT reserves the right to refuse, restrict, or, where appropriate, permanently restrict future reservations, registrations, purchases, or participation by an individual who engages in material improper chargeback or payment-dispute activity, or who demonstrates a pattern of improper chargebacks, payment disputes, reversals, or failure to comply with the Direct Resolution Requirement, including conduct involving TULCT-affiliated events, products, or services.

VI. COSTUME DISTRIBUTION

16. Costume Collection, Inspection and Alterations

Costumes must be collected during TULCT's announced distribution period. TULCT is not responsible for unclaimed items after the designated distribution period, and any alternative arrangement will be made only at TULCT's discretion.

The registered Member must present valid identification.

TULCT permits authorized proxy collection. A proxy must present:

  • the proxy's valid identification;

  • the registered Member's valid identification or a copy thereof; and

  • any additional authorization or verification reasonably required by TULCT.

A Member who authorizes proxy collection authorizes the proxy to receive and inspect the costume package on the Member's behalf. Collection, inspection, acknowledgment of receipt, and departure from distribution by the authorized proxy will be treated as collection and receipt by the Member for purposes of these Terms.

Members or authorized proxies must inspect the package before leaving distribution and verify that all expected costume pieces have been received. Once the costume leaves the distribution site, TULCT is not responsible for missing items that were not reported at collection.

Members are strongly encouraged to try on their costumes promptly after collection.

TULCT is not responsible for incorrect Member size selection, inaccurate measurements, weight fluctuation, or other Member-caused sizing issues. TULCT may attempt to assist where possible but is not obligated to correct such issues.

Any production, sizing, or assembly issue believed to be attributable to TULCT must be reported at distribution whenever reasonably identifiable and, in all events, no later than two (2) days before Parade Day.

If TULCT first makes a costume available for collection after that deadline, any issue must be reported at collection whenever reasonably identifiable or within any alternative reporting period expressly communicated by TULCT.

Requests received after that deadline, regardless of cause, will be addressed only at TULCT's sole discretion.

VII. PACKAGE INCLUSIONS, EVENTS, CONDUCT & LIABILITY

17. Package and Event Inclusions

A TULCT costume or registration package may include access to events, experiences, products, services, or other benefits in addition to Parade Day.

Specific package inclusions will be identified in the applicable registration or checkout package description, Member order information, or other written communication expressly designated by TULCT as stating the official inclusions for that package.  Inclusions may vary by package, registration category, or season.

Participation in an included or separately purchased TULCT or TULCT-affiliated event or experience is subject to these Terms and any applicable event-specific Terms and Conditions of Entry, security requirements, safety protocols, venue requirements, and participation rules.

Failure or inability to participate in one included event, experience, product, or benefit does not create a right to a full or partial package refund unless expressly provided by these Terms, expressly authorized by TULCT, or required by applicable law.

TULCT may reasonably modify, reschedule, relocate, replace, or substitute an included event, experience, benefit, or package component because of legitimate operational, production, venue, vendor, safety, or administrative needs. Such modification does not itself create a right to a refund where TULCT provides the applicable component or a reasonably comparable substitute.

If TULCT determines that a material paid package component cannot be provided and no reasonably comparable substitute is practicable, TULCT may determine an appropriate proportional credit, refund, or other reasonable accommodation based on the circumstances.

18. Participant Conduct

Participants must conduct themselves responsibly and respectfully and comply with applicable law, event rules, security procedures, venue requirements, safety instructions, and TULCT policies.

Disorderly conduct, harassment, threats, violence, unsafe behavior, possession of prohibited items, unlawful conduct, interference with event operations, or other behavior that jeopardizes safety, operations, or the reasonable enjoyment of others may result in denial of entry or removal from an event.

Removal or denial of entry for violation of applicable conduct, security, or safety requirements will be without refund and does not create an entitlement to a refund or credit for the costume package or any other package component.

19. Assumption of Risk, Release and Liability

Participation in Carnival activities, parades, J'ouvert, parties, road experiences, costume distribution activities, and other TULCT or affiliated events involves inherent and foreseeable risks, which may include crowds, weather, physical activity, alcohol consumption, transportation, slips and falls, interaction with other participants, and other known or unforeseen hazards.

By participating, the Member knowingly and voluntarily assumes the risks associated with participation.

To the fullest extent permitted by applicable law, the Member releases and holds harmless TULCT and its officers, directors, employees, volunteers, representatives, contractors, vendors, sponsors, partners, affiliated event organizers, venues, and event personnel (collectively, the “TULCT Protected Parties”) from claims, liabilities, losses, damages, costs, or expenses arising out of or related to personal injury, property loss, property damage, or other harm sustained in connection with participation.

This release applies to included and separately purchased TULCT or TULCT-affiliated events and experiences, except to the extent a particular liability cannot lawfully be waived.

Participants must comply with applicable laws concerning the purchase, possession, and consumption of alcohol and are responsible for drinking responsibly.

In an emergency, the participant consents to receive medical treatment reasonably deemed necessary.

20. Limitation of Liability

To the fullest extent permitted by applicable law, TULCT will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or relating to a reservation, registration, costume or package purchase, event, participation opportunity, or other transaction governed by these Terms, including claims for lost travel expenses, lodging expenses, transportation costs, lost income, lost opportunity, or other consequential losses.

To the fullest extent permitted by applicable law, TULCT's aggregate contractual liability arising from a particular registration, costume package, purchase, event, or transaction will not exceed the amount actually paid to and retained by TULCT for the specific registration, package, purchase, event, or transaction giving rise to the claim.

These limitations apply regardless of the legal theory asserted, except to the extent a particular limitation is prohibited by applicable law.

21. Member Indemnification

To the fullest extent permitted by applicable law, the Member agrees to indemnify and hold harmless TULCT from third-party claims, liabilities, losses, damages, costs, and reasonable expenses arising from or relating to the Member's unlawful conduct, intentional misconduct, material violation of these Terms, or damage to property caused by the Member, except to the extent the claim or loss is attributable to conduct for which TULCT may not lawfully require indemnification.

This provision does not require a Member to indemnify TULCT for claims arising solely from TULCT's own conduct where such indemnification is prohibited by applicable law.

22. Force Majeure, Cancellation and Season Disruption

TULCT is not responsible for delays, interruptions, modifications, postponements, relocation, rescheduling, substitutions, or cancellations caused by circumstances beyond TULCT's reasonable control, including hurricanes, tropical storms, severe weather, natural disasters, acts of God, fire, epidemic or pandemic, public-health emergency, governmental action or restriction, Carnival cancellation or modification by governmental or other authorities, civil disturbance, labor disruption, transportation interruption, venue unavailability, infrastructure failure, supplier or production disruption arising from such circumstances, or other comparable events beyond TULCT's reasonable control (a “Force Majeure Event”).

Where reasonably practicable, TULCT may respond to a Force Majeure Event by modifying, postponing, relocating, substituting, rescheduling, or restructuring an affected event, benefit, package component, or season rather than cancelling it.

Members acknowledge that payments received by TULCT are used throughout the season to fund costume design and production, materials, vendors, venues, entertainment, logistics, operations, and other costs, some of which may be paid, committed, non-refundable, or non-recoverable before an event or Carnival occurs. Accordingly, cancellation, postponement, or material disruption of Carnival, a TULCT event, or a season because of a Force Majeure Event does not automatically entitle a Member to a full cash refund.

If a Force Majeure Event prevents TULCT from delivering all or a material portion of an applicable package, TULCT will determine an appropriate resolution based on the circumstances existing at the time, including:

  • the timing of the Force Majeure Event;

  • the portion of the package already produced, performed, provided, or delivered;

  • amounts already expended or irrevocably committed;

  • amounts, if any, recoverable from vendors or other third parties;

  • TULCT's ability to complete costume or merchandise production;

  • TULCT's ability to reschedule or provide substitute performance; and

  • other circumstances reasonably relevant to determining an appropriate resolution.

In determining amounts expended, committed, refundable, or creditable, TULCT may consider costs incurred for the season, package, event, or applicable Member population collectively. Such costs need not be individually traceable to a particular Member where they were reasonably incurred or committed in providing the applicable season, package, event, or benefit.

Based on those circumstances, TULCT may determine, in its reasonable discretion, to:

  • reschedule or substitute the affected event, benefit, or service;

  • provide the costume, merchandise, or other package components already produced or that can reasonably be completed;

  • hold all or a portion of amounts paid as a credit toward a rescheduled event, replacement event, or subsequent TULCT season;

  • provide a partial refund of amounts that remain reasonably refundable after accounting for benefits already delivered and non-refundable or irrecoverable costs incurred or committed;

  • provide another reasonable accommodation; or

  • use a reasonable combination of the foregoing remedies.

Any credit issued under this section will be subject to the terms and reasonable redemption period communicated by TULCT for that credit.

Unless TULCT expressly provides otherwise, a credit represents a dollar-value credit in the amount stated by TULCT and does not guarantee future pricing, registration status, costume inventory, section placement, package inclusions, or other benefits. The Member is responsible for any difference between the credit and the price of the future registration, package, event, or purchase to which it is applied.

TULCT is not required to refund amounts already reasonably and irreversibly expended or committed toward the affected Member package, season, event, production, or related obligations, except as required by applicable law.

Where only one event, experience, benefit, or component of a larger package is affected, the disruption, modification, postponement, or cancellation of that component does not automatically entitle the Member to cancel or receive reimbursement for the entire package.

Nothing in this section limits any right or liability that cannot lawfully be waived or limited.

VIII. MEDIA, PRIVACY & MEMBER COMMUNICATIONS

23. Photography, Video, Audio and Media Release

By registering for and/or participating in a TULCT event, activity, parade, distribution, experience, or TULCT-affiliated event, the Member grants TULCT permission to photograph, film, record, and otherwise capture the Member's image, likeness, appearance, and voice.

The Member irrevocably authorizes TULCT and its authorized representatives to use, reproduce, edit, alter, copy, exhibit, publish, display, distribute, broadcast, and otherwise use such photographs, video, audio, and other recordings, in whole or in part, for any lawful TULCT purpose, including advertising, marketing, promotional, editorial, archival, website, social media, print, digital, and other communications.

Such materials may be edited, altered, modified, cropped, combined, reproduced, or incorporated with other photographs, video, audio, text, graphics, or materials and may be used in any medium now known or later developed.

The Member waives the right to inspect or approve the finished product or the manner in which the Member's image, likeness, appearance, or voice is used and waives any right to royalties, payment, compensation, or other consideration arising from an authorized use.

To the fullest extent permitted by applicable law, the Member, on behalf of themselves and their heirs, representatives, executors, administrators, and estate, releases and forever discharges TULCT and its authorized representatives from claims, demands, liabilities, or causes of action arising by reason of the authorized capture or use described in this section.

To the extent permitted by applicable law, TULCT owns photographs, recordings, or other media that TULCT creates or commissions, subject to applicable third-party rights.

24. Privacy and Member Information

Members are responsible for providing accurate and current information necessary to process reservations, registrations, payments, costume production, fulfillment, distribution, Member communications, and support.

TULCT may use Member information for legitimate purposes related to reservations, registration, transactions, production, fulfillment, event administration, Member support, communications, and TULCT promotions.

TULCT may provide Member information to registration platforms, payment processors, technology providers, fulfillment providers, contractors, vendors, or other service providers as reasonably necessary to administer TULCT operations or provide services to TULCT or the Member.

TULCT does not sell Member personal information.

Third-party platforms and service providers may maintain their own terms, privacy practices, and security procedures. TULCT does not independently warrant or guarantee the security practices or systems of third-party providers.

25. Member Complaints, Communications and Conduct

TULCT is committed to addressing legitimate Member concerns and requires Members to communicate complaints and requests for corrective action directly to TULCT in the first instance, using the applicable published support, registration, or Member-contact channel.

Members must provide TULCT a reasonable opportunity to review and respond to a complaint or correct an alleged registration, costume, billing, fulfillment, distribution, or service issue before escalating the matter through a third party where the issue is reasonably capable of resolution by TULCT.

This requirement does not restrict a Member from making a truthful statement, expressing a good-faith opinion or review, seeking legal advice, exercising a legally protected right, or making a report to law enforcement, a governmental or regulatory authority, or another entity where prior notice to TULCT is not reasonably appropriate or legally required.

Members shall not knowingly or recklessly publish, communicate, or disseminate materially false or misleading statements of fact concerning TULCT, its affiliated events or brands, sponsors, partners, contractors, personnel, or representatives.

Members shall not engage in threats, harassment, impersonation, targeted abuse, interference with TULCT operations, or other unlawful conduct directed toward TULCT, its team, Members, contractors, vendors, partners, or representatives.

A Member's disagreement with TULCT, negative experience, criticism, or good-faith opinion does not by itself constitute a violation of this section.

TULCT reserves the right, where appropriate, to refuse or restrict future reservations, registrations, purchases, or participation in TULCT or TULCT-affiliated events, products, programs, or services for failure to comply with this section.

Nothing in this section limits the more specific Direct Resolution Requirement and remedies applicable to chargebacks and payment disputes under Section 15.

IX. CHANGES, RELATED POLICIES & CONTRACT ADMINISTRATION

26. Changes to Terms, Programs, Procedures and Operations

TULCT reserves the right to make reasonable changes to these Terms and to applicable registration procedures, schedules, deadlines, selection or redemption processes, distribution procedures, event logistics, platforms, administrative requirements, operational policies, ancillary benefits, partner offers, and similar matters where TULCT determines that a change is reasonably necessary, including but not limited to, the following:

  • correcting an error, omission, inconsistency, or ambiguity;

  • clarifying the intended operation or meaning of an existing provision;

  • addressing a platform, technology, administrative, production, inventory, vendor, or operational limitation;

  • responding to circumstances not reasonably anticipated when the applicable terms or process were established;

  • complying with legal, regulatory, insurance, venue, safety, or third-party requirements;

  • improving the reasonable administration of registration, production, fulfillment, distribution, or event processes; or

  • addressing other circumstances reasonably requiring an operational, administrative, or program adjustment.

Such changes may apply to existing registrations where reasonably necessary to accomplish one of the purposes above, provided that TULCT will not exercise this authority arbitrarily or for the primary purpose of materially depriving a Member of the fundamental paid benefit for which the Member contracted.

Where a change materially affects an existing Member's payment obligation, registration status, or other core paid right, TULCT will provide reasonable notice where practicable and will seek to preserve the substantial benefit of the original transaction through the modified process or an appropriate alternative, except where doing so is impossible, unlawful, commercially impracticable, or prevented by circumstances beyond TULCT's reasonable control.

Changes to ancillary, promotional, procedural, scheduling, platform, administrative, or operational matters do not create a right to a refund merely because the revised process, procedure, schedule, or benefit differs from what was originally anticipated.

27. Related Policies, Platforms and Event Terms

These Terms operate together with applicable:

  • TULCT FAQs;

  • announced payment requirements, schedules, and deadlines;

  • costume-selection and redemption procedures;

  • distribution procedures;

  • event-specific Terms and Conditions of Entry;

  • registration-platform and payment-provider terms applicable to use of those services; and

  • other TULCT operational policies communicated for the applicable season, purchase, or event.

Such materials may supplement these Terms but may not be interpreted to retroactively eliminate or materially contradict a core paid right expressly established by these Terms.

Where a third-party platform's terms govern the Member's direct use of that platform or payment service, those terms apply to that relationship. Costume, sizing, fulfillment, registration, and other TULCT-Member disputes remain matters between TULCT and the Member except where applicable law or provider rules require otherwise.

28. Notices and Member Communications

TULCT may provide notices, deadlines, updates, operational instructions, or other communications under these Terms through the email address, telephone number, registration account, platform account, or other contact method provided by the Member, or through an official TULCT communication channel designated for the applicable program or event.

Members are responsible for maintaining accurate contact information and for reviewing communications reasonably related to their registration, order, payment obligations, costume selection, distribution, or participation.

A Member's failure to review a communication sent to the contact information provided by the Member does not, by itself, extend an applicable deadline or obligate TULCT to preserve inventory, benefits, or opportunities that otherwise expired, except where TULCT expressly provides otherwise.

A platform, payment-processing, technology, or access issue does not automatically extend an applicable deadline.

A Member who believes such an issue prevented timely completion of a required action must notify TULCT through an applicable support or registration channel before the deadline whenever reasonably possible, or as soon as reasonably practicable where the nature of the issue prevents timely notice.

TULCT may request supporting information, verify the reported issue, and determine whether an accommodation, extension, or other remedy is appropriate.

Any accommodation remains within TULCT's discretion and does not require TULCT to provide the same accommodation in other circumstances.

29. No Waiver

TULCT's failure or delay in enforcing any provision of these Terms does not waive that provision or TULCT's right to enforce it later.

Any accommodation, exception, extension, alteration assistance, reinstatement, credit, or other discretionary relief provided to one Member or in one circumstance does not require TULCT to provide the same relief to another Member or in another circumstance.

A waiver by TULCT is effective only as to the particular matter for which it is granted and does not constitute a continuing or future waiver unless expressly stated in writing.

30. Severability

If any provision or portion of these Terms is determined by a court or other authority of competent jurisdiction to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted by law or, where appropriate, severed, and the remaining provisions will remain in full force and effect.

31. Entire Agreement and Order of Precedence

These Terms, together with the applicable purchase or package description and any policies, schedules, event terms, or procedures expressly incorporated by reference, constitute the agreement governing the applicable TULCT registration, purchase, or participation opportunity.

Representations, promotional materials, social media posts, informal communications, or prior discussions do not modify these Terms unless TULCT expressly identifies the communication as modifying or supplementing the applicable contractual terms.

If an incorporated TULCT policy or procedure directly conflicts with these Terms, these Terms control unless the supplemental term expressly states that it governs the particular purchase, event, benefit, or circumstance at issue.

Third-party platform or payment-provider terms continue to govern the Member's separate relationship with that third party to the extent applicable.

32. Governing Law and Venue

These Terms and any dispute arising from or relating to a TULCT registration, purchase, package, event, or transaction shall be governed by the applicable laws of the United States Virgin Islands, without regard to conflict-of-laws principles, except where applicable law requires otherwise.

To the extent permitted by applicable law, any legal proceeding arising from or relating to these Terms or the applicable TULCT transaction shall be brought in a court of competent jurisdiction in the United States Virgin Islands.

33. Survival

Any provision that by its nature is intended to continue after cancellation, completion, expiration, termination, collection, or participation will survive, including, as applicable, provisions concerning payments, non-refundability, chargebacks and disputes, liability and releases, media rights, Member conduct, and contract interpretation or enforcement.

34. Headings and Interpretation

Section titles and headings are provided for convenience and organization and do not limit the meaning or scope of the substantive provisions.

The words “including,” “includes,” “such as,” and similar terms are illustrative and do not limit the generality of the preceding language unless expressly stated otherwise.

References to the singular include the plural where appropriate, and references to a Member include the purchaser, registrant, participant, or other individual subject to the applicable provision where the context requires.

Unless TULCT expressly states otherwise, all dates and times stated in these Terms or in an applicable TULCT registration, payment, selection, redemption, or distribution communication are based on Atlantic Standard Time (AST), the local time in the United States Virgin Islands.

35. Electronic Acceptance

By completing a Priority Access Reservation, Official Pre-Registration, Public Registration, costume purchase, package purchase, or other applicable transaction, the Member acknowledges that they have read, understood, and agreed to these Terms and applicable incorporated policies.

Checking an acceptance box, electronically acknowledging these Terms, submitting registration or payment after being presented with these Terms, or otherwise completing an applicable electronic acceptance process constitutes the Member's acceptance of these Terms.

The electronic version of the Terms presented and accepted in connection with the applicable transaction may be retained as evidence of the terms agreed to by the Member.

36. Questions and Contact
